These Terms and Conditions ("Terms") govern access to and use of the bizCARD platform (the "Service"), operated by dambox Sagl ("dambox", "we", "our"), based in Switzerland. By using the Service, the user fully accepts these Terms. If you do not accept the Terms, please do not use the Service.
1. Description of the Service
bizCARD is a SaaS (Software as a Service) platform that allows individuals and businesses to create, manage and share digital business cards, custom QR codes, short links and related professional content. The Service is accessible via the bizcard.ch website and related applications.
2. Registration and Account
- To access the features of the Service you must create an account by providing truthful, accurate and up-to-date information.
- The user is responsible for the confidentiality of their access credentials and for all activity carried out through their account.
- The user must immediately notify dambox of any unauthorized access or security breach of their account.
- Creating accounts under false identities or on behalf of third parties without authorization is prohibited.
3. Subscription Plans and Payments
- The Service offers free and paid plans. Available features vary by subscribed plan.
- Payments for paid plans are handled through Stripe, a secure PCI-DSS compliant payment service provider.
- Subscriptions automatically renew at the end of the contractual period, unless cancelled by the user before renewal.
- dambox reserves the right to change plan prices with at least 30 days' notice. Changes do not apply to the current billing period.
- Refunds are handled on a case-by-case basis according to the current refund policy.
4. Acceptable Use
The user agrees not to use the Service to:
- Violate applicable laws or regulations, including Swiss and EU rules.
- Upload illegal, defamatory, offensive, discriminatory content or content that infringes third-party rights.
- Distribute malware, viruses or harmful code.
- Attempt unauthorized access to systems, data or other users' accounts.
- Use the Service for spam, phishing or fraudulent activities.
- Carry out scraping, reverse engineering or decompilation of the Service.
- Intentionally overload the Service infrastructure.
5. Intellectual Property
- The Service, including software, design, logos, texts and all related materials, is the exclusive property of dambox Sagl and is protected by Swiss and international intellectual property laws.
- The user retains ownership of content uploaded to the platform (images, texts, contact details). By uploading content, the user grants dambox a limited, non-exclusive and revocable license to host, display and distribute such content solely within the scope of the Service.
- Copying, modifying, distributing or creating derivative works of the Service without dambox's written authorization is prohibited.
6. User Content
- The user is solely responsible for content uploaded, published or shared through the Service.
- dambox does not proactively monitor user content but reserves the right to remove content that violates these Terms or applicable law.
- The user warrants that they own all necessary rights to the uploaded content and that such content does not infringe third-party intellectual property rights.
7. Service Availability
- dambox strives to ensure maximum Service availability but does not guarantee uninterrupted or error-free operation.
- The Service may be temporarily suspended for maintenance, updates or force majeure events.
- dambox reserves the right to modify, suspend or discontinue any feature of the Service at any time.
8. Limitation of Liability
- The Service is provided "as is" and "as available", without warranties of any kind, express or implied.
- dambox is not liable for direct, indirect, incidental, special, consequential or punitive damages arising from the use of or inability to use the Service.
- In no case shall dambox's total liability to the user exceed the amount paid by the user for the Service in the 12 months preceding the event giving rise to the liability.
- dambox is not liable for data loss, business interruption or lost profits arising from the use of the Service.
9. Indemnification
The user agrees to indemnify and hold harmless dambox Sagl, its directors, employees and contributors from any claim, damage, loss, liability, cost or expense (including legal fees) arising from:
- The user's breach of these Terms.
- The user's use of the Service.
- The user's violation of third-party rights.
- Content uploaded or shared by the user through the Service.
10. Suspension and Termination
- dambox may suspend or terminate the user's access to the Service at any time, with or without notice, in case of breach of these Terms.
- The user may delete their account at any time from the Service settings.
- Upon termination, dambox may delete the user's data within 30 days, subject to legal retention obligations.
11. Changes to the Terms
dambox reserves the right to modify these Terms at any time. Changes will be communicated through the Service or by email. Continued use of the Service after notification of changes constitutes acceptance of the new Terms. For existing users, changes take effect no earlier than 14 days after publication.
12. Governing Law and Jurisdiction
These Terms are governed by Swiss law. For any dispute arising from these Terms or from the use of the Service, the exclusive venue is Lugano, Canton Ticino, Switzerland.
13. General Provisions
- If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Failure by dambox to exercise a right does not constitute a waiver of that right.
- These Terms constitute the entire agreement between the user and dambox regarding the use of the Service.
14. Features and Plans
The features included in subscription plans evolve continuously and may be subject to changes, additions or redefinitions over time. dambox reserves the right to update, add or remove specific features from any plan, with the goal of constantly improving the Service. Plan descriptions published on the website and in the documentation reflect the current state of features and do not constitute an immutable contractual commitment.
